AimCove Education Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of the consulting and design services provided by AimCove Education ("AimCove," "we," "us," or "our"), which specialize in creating student portfolios to assist parents in streamlining the portfolio design process. By engaging our services, you ("Client," "you," or "your") acknowledge and agree to be bound by these Terms, our Privacy Policy, and all related service specifications. If you do not agree with any provision, you may not use our services.
2. Service Description
We offer professional portfolio design services tailored to students' academic and extracurricular profiles, including but not limited to children's portfolios and university student curricula vitae (CVs). The scope of services—such as design drafts, revision limits, and deliverables—will be detailed in the service package confirmed with the Client prior to project commencement.
3. Fees and Payments
3.1 Payment Requirement
Full payment for the agreed service package, including any applicable taxes, is due in full upfront before any design work begins. Payment must be made via our accepted methods (e.g., credit/debit card, bank transfer, online payment platforms) as specified in the invoice or quotation.
3.2 Refund Policy
1.    Pre-Commencement Cancellation: If the Client cancels the project before any design work starts (defined as the delivery of the first draft), a full refund will be issued within 14 business days.
2.    Post-Commencement Cancellation: Once the first draft is delivered, no refunds will be provided, regardless of project completion or Client satisfaction.
4. Order Confirmation, Revisions, and Changes
4.1 Design Drafts and Approval
Within [X] business days of payment, we will deliver the first design draft for Client review. The Client must provide feedback in writing (via email or client portal) within 2 business days of receiving a draft.
4.2 Minor Edits vs. Substantial Changes
3.    Minor Edits (included in revisions):Non-substantive adjustments that do not alter the core design or content, such as:
1.    Color scheme modifications, font changes, or typographic adjustments.
2.    Relocation of graphics, resizing images, or adjusting shape outlines.
3.    Spelling/grammar corrections or minor phrasing tweaks (without changing meaning).
4.    Substantial Changes (subject to fees):Alterations impacting content, structure, or design scope, including:
1.    Rewriting or revising substantive text (e.g., personal statements, experience descriptions).
2.    Replacing or adding new media (photos, videos, client-provided materials).
3.    Redesigning sections, adding pages, or deviating from the approved design concept.
4.3 Revision Policy
5.    Included Revisions: Each package includes 3 rounds of revisions (minor edits or substantial changes), applicable only to feedback provided within the 2-business-day review window.
6.    Extra Revisions: After the 3 included revisions, substantial changes will be charged at $500 per revision. Minor edits beyond the included rounds may be quoted on a case-by-case basis and require pre-approval.
7.    Default Approval: If the Client does not respond to a draft within 7 business days, the design will be deemed approved, and no further revisions will be included unless paid for separately.
5. Intellectual Property Rights
5.1 Ownership and Licensing
8.    Client License: Upon full payment, the Client receives a non-exclusive, personal-use license to the final portfolio design for educational purposes only. This license does not include rights to sublicense, resell, or reproduce the design for commercial use.
9.    AimCove’s Rights: We retain all intellectual property rights, including copyright, in:
1.    Design templates, frameworks, and stylistic elements used in the portfolio.
2.    Anonymized versions of the portfolio for marketing, promotional, or case study purposes.
10.    Restrictions: The Client may not:
1.    Claim ownership of AimCove’s original design work or templates.
2.    Alter the design and present it as their own creation.
6. Confidentiality
6.1 Protection of Sensitive Information
Both parties agree to treat all non-public information disclosed during the engagement as confidential, including but not limited to:
11.    Student and parent personal data (names, contact details, academic records).
12.    Client-provided content (resumes, portfolios, family information).
13.    Business details and project specifications.
6.2 Obligations
14.    AimCove: Will use confidential information solely for service delivery and maintain security measures to prevent unauthorized disclosure.
15.    Client: Will ensure they have legal rights to share all provided data and not disclose AimCove’s proprietary design processes or templates.
6.3 Exceptions
Confidentiality obligations do not apply to information:
16.    Already in the public domain (not due to a breach).
17.    Required to be disclosed by law, court order, or regulatory authority.
7. Client Responsibilities
7.1 Representations and Warranties
The Client warrants that:
18.    All provided information (academic records, work experience, media) is accurate, complete, and free of fraudulent or misleading content.
19.    They have obtained necessary consents (e.g., from students/parents) to share data with AimCove for service delivery.
20.    AimCove will not be liable for errors, omissions, or misrepresentations in Client-provided content, including its use in portfolios or CVs.
7.2 Collaboration and Feedback
The Client must:
21.    Respond to design drafts and revision requests promptly within specified timeframes.
22.    Provide all required materials (text, images, data) in a timely manner to avoid project delays.
8. Service Delivery and Deadlines
8.1 Estimated Timelines
The projected delivery date for the final portfolio will be outlined in the service package. This timeline is subject to change due to:
23.    Delays in Client feedback or material provision.
24.    Force majeure events (defined in Section 9).
8.2 Force Majeure
Neither party will be liable for delays or non-performance caused by unforeseeable events beyond reasonable control, including but not limited to:
25.    Natural disasters, pandemics, or government lockdowns.
26.    Strikes, supply chain disruptions, or legal restrictions.In such cases, we will:
27.    Notify the Client immediately and propose a revised timeline or cancellation.
28.    If canceled due to force majeure, issue a full refund of all payments received, with no further obligations.
9. Liability Limitation
9.1 Scope of Liability
AimCove’s total liability to the Client, whether in contract, tort, or otherwise, will not exceed the total fees paid for the specific service in dispute.
9.2 Exclusions
We will not be liable for:
29.    Indirect, consequential, or punitive damages (e.g., lost opportunities, reputation harm).
30.    Errors in Client-provided content or misuse of the final design.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of [Hong Kong] (or your jurisdiction). Any disputes will be resolved exclusively by the courts of [Hong Kong] (or your jurisdiction), excluding its conflict-of-laws principles.
11. Compliance with Laws
11.1 Client Obligations
The Client must comply with all applicable laws, including:
31.    Data protection regulations (e.g., Hong Kong’s Personal Data (Privacy) Ordinance, GDPR for EU clients).
32.    Intellectual property laws (e.g., ensuring rights to all provided content).
11.2 AimCove’s Compliance
We adhere to relevant privacy and security standards, as detailed in our Privacy Policy, and will not use Client data for unauthorized purposes.
12. Termination
Either party may terminate these Terms by written notice if the other party materially breaches any provision and fails to cure the breach within 14 days. Upon termination:
33.    The Client must cease use of our services immediately.
34.    Fees paid for completed work are non-refundable; partial refunds for unused services may be considered at our discretion.
13. Entire Agreement
These Terms, together with our Privacy Policy and service quotations, constitute the entire agreement between the parties and supersede all prior understandings.
14. Amendments
We reserve the right to update these Terms. Revised versions will be posted on our website and effective 14 days after notice. Continued use of services after posting constitutes acceptance of changes.
